API Terms of Service

1. Introduction

These API Terms of Service ("API Terms") shall govern the access to and use of the application programming interfaces ("APIs") provided by Cartlow DMCC Company ("Orbt", "we", "us").

By accessing or using the Orbt APIs, you ("Partner") agree to comply with: These API Terms; Orbt Terms of Use; Orbt Privacy Policy; Appendix A – Acceptable Use Policy. If you do not agree to the API Terms, please do not use the APIs.

2. Purpose of the APIs

The Orbt APIs enable Partners to automate and manage:

The APIs are provided solely to operate Partner-managed incentive, reward, refund, and payout programs.

• Creation and management of end users (beneficiary) profiles
• Issuance of digital rewards and bonuses
• Configuration of campaigns and payout rules
• Access to transaction history and reporting
• Programmatic distribution of digital rewards

3. Nature of the Service

Orbt provides infrastructure for the distribution of restricted digital rewards that:

Orbt does not provide banking services, payment services, or money transmission.

• Have no cash value
• Are non-transferable
• Cannot be withdrawn
• Are redeemable only for supported third-party brands and services

4. API Access & Security

Partners must:

Orbt may: Apply rate limits; Rotate or revoke credentials; Suspend access for security or compliance reasons.

• Use only assigned API credentials
• Maintain confidentiality of keys and tokens
• Implement reasonable security safeguards
• Notify Orbt immediately of any compromise

5. Permitted Use

Partners may use the APIs solely to operate their own payout and reward programs. Partners may not:

• Resell or sublicense API access
• Offer Orbt services to sub-merchants or third parties without written approval of Orbt
• Circumvent platform controls
• Use APIs unlawfully

6. Customization & Branding

Orbt permits limited Partner customization including: Email notification templates; End user interface branding (logos, colors, content sections). Such customization does not constitute white-labeling. Orbt owns and retains full rights in the platform, its identity and ownership.

7. Compliance Obligations

Partners agree to:

Orbt may suspend or terminate API access for compliance concerns or other reasons as it may deem necessary.

• Complete KYB onboarding
• Submit and provide promptly any required documents
• Comply with applicable laws
• Prevent fraud and misuse
• Maintain accurate data and documents

8. Funding & Automation

Orbt may integrate third-party payment gateways to enable Partner funding. Optional APIs may allow: Viewing funding balances; Initiating funding requests; Automating funding workflows. End users may not fund accounts. Orbt does not act as a financial institution or payment processor.

9. Data Usage & Privacy

Partners may access data solely for approved payout programs. Partners must comply with: Applicable GDPR laws; Applicable privacy laws and Orbt Privacy Policy. Orbt acts as: Data processor for Partner-managed programs; Data controller for platform operations.

10. Third-Party Brands

Redemptions are subject to: Third Party products or services availability; Third party-specific terms related to the products and/or services. Orbt does not guarantee brand performance.

11. Fees & Commercial Terms

API usage is subject to agreed: Platform fees; Transaction fees; Pricing structures.

12. Service Availability

Orbt may modify, maintain, or deprecate APIs with reasonable notice. No uninterrupted service guarantee is provided.

13. Intellectual Property

Orbt retains all rights to APIs and platform technology. Partners receive a limited revocable non-assignable license to use APIs under these API Terms.

14. Disclaimers & Limitation of Liability

APIs are provided "as is". Orbt is not liable for: Partner misuse; Third-party brand issues; End user actions; Indirect damages. Liability is limited as permitted by law.

15. Suspension & Termination

Orbt may suspend or terminate API access for: Breach of API Terms; Compliance risk; Security concerns; Fraud indicators.

16. Changes to Terms

Orbt may update these API Terms periodically. Your continued use constitutes acceptance of such updates.

17. Governing Law

These API Terms are governed by the laws of the United Arab Emirates.

Appendix A – Acceptable Use Policy (AUP)

1. Purpose

This AUP defines permitted and prohibited uses of the Orbt platform and APIs.

2. Permitted Use

Use solely for lawful incentive, reward, refund, and payout programs using restricted digital rewards.

3. Prohibited Activities

Financial misuse: Cash withdrawal or conversion; End user wallets; P2P transfers; Cash-equivalent instruments.

Illegal/high-risk: Fraud; Money laundering; Sanctions violations; Illegal goods or services; Gambling. Platform abuse: Fake end users; Reward manipulation; Resale for cash; API scraping; Credential sharing. Data misuse: Unauthorized data use; Privacy violations.

4. Restricted Industries (Approval Required)

• Financial services
• Crypto/digital assets
• Gaming with monetary rewards
• Regulated products

5. Enforcement

Orbt may: Monitor usage; Suspend or terminate access; Reverse rewards; Report unlawful activity.

6. Partner Responsibility

Partners are responsible for all activity conducted through their accounts.

7. Updates

Orbt may update this AUP from time to time.
